1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AppSuiteHQ Ltd ("AppSuiteHQ," "we," "us," or "our") regarding your use of appsuitehq.com and its subdomains, including any related services, features, and content (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Eligibility

To use the Service, you must:

• Have the legal capacity to enter into a binding agreement

3. Account Registration

AppSuiteHQ provides a suite of business management tools including, but not limited to:

• Time tracking and billing
• Customer relationship management (CRM)
• Knowledge base and documentation
• Contract and compliance management
• Proposal and quote creation
• Expense tracking
• Project management
• Workflow automation
• Social media scheduling
• GDPR compliance tools
• Accounting and financial management
• Audit management and evidence tracking

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

5. Pricing and Payment

5.1 Free Tier

Certain features are available free of charge with limitations. Free tier features may change at our discretion.

5.2 Paid Plans

Paid subscriptions are billed monthly or annually as selected at checkout. Prices are in USD unless otherwise specified. All fees are exclusive of taxes unless stated otherwise.

5.3 Payment Processing

Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

5.4 Refunds

Annual subscriptions are eligible for a full refund within 14 days of purchase. Monthly subscriptions are non-refundable but will continue until the end of the billing period. We may offer pro-rata refunds at our discretion.

5.5 Price Changes

We may change prices with 30 days' notice. Existing subscribers will be grandfathered at their current rate until their next renewal.

6. User Content and Data

6.1 Your Content

You retain ownership of all content and data you submit to the Service ("User Content"). By submitting User Content, you grant us a limited license to host, store, and display your content solely to provide the Service.

6.2 Data Export

You may export your data at any time using our export features. We provide exports in standard formats (CSV, JSON, PDF).

6.3 Data Deletion

Upon account deletion or request, we will delete your data in accordance with our Privacy Policy, typically within 30 days.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload viruses, malware, or malicious code
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Scrape or harvest data without permission
• Impersonate others or misrepresent your identity
• Violate intellectual property rights
• Send spam or unsolicited communications
• Use the Service to develop a competing product
• Exceed rate limits or abuse API access

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any data loss or corruption.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPSUITEHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless AppSuiteHQ and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

13.1 By You

You may cancel your account at any time through your account settings. Your subscription will remain active until the end of the billing period.

13.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We may retain certain data as required by law.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration in Paris, FR, under the rules of the Chambre Arbitrale Internationale de Paris, except that you may bring claims in small claims court if eligible.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AppSuiteHQ.

16.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

16.3 Waiver

Our failure to enforce any right does not waive our ability to enforce it later.

16.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations.

16.5 Force Majeure

We are not liable for delays due to circumstances beyond our reasonable control.
